As an In-House Commercial Counsel, you will be responsible for providing comprehensive legal support focusing on commercial transactions, contract management, compliance, and risk mitigation. You will work closely with various departments, including Sales, Marketing, Finance, Product Development, and Customer Success, to ensure that all legal and regulatory requirements are met.
The position reports to the Associate General Counsel in Tysons, Virginia (functional manager) and the Head of Legal based in India (matrix manager). This individual will bring a high degree of contracts expertise, relying on that expertise, sound judgment, and professionalism to operate independently. The role requires a balance of legal and business acumen, including competencies in SaaS, commercial negotiation, structuring deals, and project management. The successful candidate will be a strong team player, willing to contribute to the success of the legal team and Cvent.
In This Role, You Will:- Draft, review, and negotiate a variety of commercial agreements such as SaaS agreements, subscription agreements, vendor agreements, NDAs, partnership agreements, integration agreements, professional services agreements, SOWs, and other legal documents and amendments.
- Review communications from customers, service providers, third parties, and government agencies; draft responses and legal correspondence related to contract enforcement, intellectual property, and other rights.
- Research emerging technologies, including AI, to identify legal implications and advise on strategic decisions.
- Provide legal support on contract interpretation, risk assessment, and issue resolution.
- Collaborate with cross-functional teams to support business objectives while ensuring compliance with laws and regulations.
- Advise on data privacy and security matters, including GDPR, CCPA, and others.
- Monitor legal and regulatory changes and advise on impacts.
- Assist in developing and maintaining corporate policies, procedures, and compliance programs.
- Manage and supervise contract associates and junior counsels.
- Coordinate with external counsel, manage disputes, and appear in court on relevant matters.
- Provide training on legal and compliance issues.
- Review RFPs and RFQs, and suggest contract term modifications.
- Offer legal advice to business and operations.
- Support M&A activities, including due diligence.
- Assist with corporate secretarial duties and governance compliance.
- Perform other duties as assigned.
- Collaborate on employee-related legal matters.
- Streamline contract management processes and implement automation tools.
- Ensure adherence to Cvent's code of conduct and promote ethical practices.
- Support contract renewal processes, notices, and collections.
- 11-14 years of relevant experience in commercial transactions and contracts, with both international and domestic focus preferred.
- SaaS experience is essential.
- Strong skills in drafting, vetting, and negotiating contracts.
- Knowledge of software/hardware issues and legal concepts like liability, indemnification, warranties, data security, and confidentiality.
- Understanding of financial and commercial contract terms.
- Familiarity with laws impacting business operations and technology contracts, including privacy regulations.
- Excellent communication, analytical, and comprehension skills.
- Good academic record.
- Ability to understand business requirements and work with teams.
